TERRAFINA INFORMS ON THE PAYMENT OF THE PERFORMANCE FEE TO THE EXTERNAL ADVISOR AND INCENTIVE PLAN IN FAVOR OF EXECUTIVES OF THE SUBSIDIARY

Mexico City, July 26th, 2024 – Terrafina (”TERRA”) (BMV: TERRA13), a leading Mexican industrial real estate investment trust (“FIBRA”), externally advised by PGIM Real Estate and dedicated to the acquisition, development, lease and management of industrial real estate properties in Mexico, announced that, in compliance with the resolutions adopted at the Annual Ordinary and Extraordinary Assembly held on April 17th, 2024 (the “Assembly”), in which the Holders of Terrafina approved, among other matters, the issuance of 13,140,064 CBFIs for the payment of the Performance Fee to the External Advisor for the period from March 19th, 2023 to March 19th, 2024, and 641,466 CBFIs for the payment to certain executives of the Subsidiary as compensation owed in accordance with the incentive plan approved by the Holders’ Assembly held on April 7th, 2016 (according to said plan, it was modified in the Assembly). Terrafina has carried out the previous payments through the issuance and delivery of 13,781,530 CBFIs. Therefore, the number of Terrafina’s outstanding CBFIs as of today is 786,262,285.
